Access to Services
This site is a free service provided by Lightplay Studios. Through Lightplay Studios, the Company agrees to provide visitors to this site (the "Users") with on-line information and services. The Users agree to use these services at all times in a manner consistent with all applicable laws and regulations and in accordance with the terms and conditions set out in the policies and guidelines outlined below.

Changes
The Company reserves the right to change the terms of this User Agreement or to modify any of the features of the Lightplay Studios service at any time. The Users agree that each time they enter Lightplay Studios, they will be bound by such changes to this Agreement.

Warranty Disclaimer
User agrees that use of the Service is entirely at User's own risk. This service and content is available and provided "As Is" without warranty of any kind, either express or implied, including without limitation any warranty for accuracy of information, services, uninterrupted access, or products provided through or in connection with the service. The Company does not make any warranties of title or warranties of merchantability or fitness for a particular purpose.

Property Rights
The downloading, retransmission or copying of material on this site is strictly prohibited. No redistribution, retransmission, or public redisplay by Users, for commercial or non-commercial purposed is allowed. Failure of Users to abide by all copyright and other property notices or restrictions contained in Lightplay Studios may result in the termination of membership or suspension of access to this service or appropriate legal action.

Improper Behavior
Users of this service are required to refrain from illegal acts and acts which are offensive to others, and to respect all property rights of the Company, as well as other content providers and authors. Offensive or inappropriate behavior, violation of copyrights, or illegal activity may cause the Company, at its sole discretion, to suspend or deny access to Lightplay Studios by the User.

Indemnity
Users agree to defend, indemnify and hold harmless the Company and their directors, officers, shareholders, subsidiaries, affiliates, employees, agents, personnel, and licensors (the "Associates") from and against any claims, actions, orders, liabilities, judgments, losses, expenses, damages and costs, including reasonable attorneys' fees and legal costs, relating to any violation by Users of this Agreement, or any harmful or illegal activities by Users in connection with Lightplay Studios.

Limited Liability
Users acknowledge that Lightplay Studios is a free service, and there is no special legal or business relationship between Users and the Company. Accordingly, the Company and its Associates are not and shall not be liable for any damages, losses or injury caused by any failure of performance, error, omission, interruption, deletion, defect, transmission or operational delays, inability to gain access to or use of the Service, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of record, whether for breach of contract, negligence, or under any other cause or claim in law or equity. Users hereby acknowledge that the provisions of this section shall apply to all content on the service.

Registration
Users must be 18 years of age or older to establish a registered account with Lightplay Studios. Only one registered account per email address is permitted. The Company reserves the right to reject or rescind any account at any time without notice and for any reason.

Other Users
Users specifically acknowledge that the Company and its Associates are not liable for the offensive, harmful or illegal conduct of other users of Lightplay Studios or other third-parties, and that the risk of injury from the foregoing rests entirely with the Users.

Law and Jurisdiction
This Agreement and any dispute relating to this Agreement shall be governed by the laws of the United States and the laws of the State of Kansas, without regard to U.S. or Kansas choice of law rules. Users and the Company agree and consent that jurisdiction, proper venue and the most convenient forms for all claims, actions and proceedings of any kind relating to Lightplay Studios or the matters in this Agreement shall be exclusively in courts located in Topeka, Kansas. If a court with the necessary subject matter jurisdiction over a given matter cannot be found in Topeka, then jurisdiction for that matter shall be exclusively in a court with the proper jurisdiction as close to Topeka as possible, and within Kansas if possible.

Severability
If any part or provision of this Agreement is held to be unenforceable for any purpose, including but not limited to public policy grounds, then Users and the Company agree that the remainder of the Agreement shall be fully enforceable as if the unenforceable part or provision never existed.

Notice
The Company may give notice to Users for any or all purposes by means of a general notice on the service. All notices or other communications to the Company from Users will be deemed given when received by prepaid first class mail or courier, or electronic mail, or by hand delivery at the address below:

General
This Legal Agreement constitutes the entire Agreement between the parties with respect to the subject matter contained herein and supersedes all previous and contemporaneous agreements, proposals and communications, written or oral between the Company and its Associates and Users. Waiver by the Company of any violation of any provision of this Agreement shall not be deemed to waive any further or future violation of the same or any other provision.
